Membership Agreement

This Membership Agreement (hereafter referred to as “Agreement”) is entered into on the date of this submission by and between: Blue Ambrosia, LLC dba Luxury Wall Designs (“Company”) and Member or Authorized Agent (“Client”) as stated below.

Scope of Services:
The Company agrees to provide wall design services (“Services”) as specified in the proposal on the scheduled date, provided Client has made payment in full and has signed this ongoing service membership agreement. Client agrees to the following terms.

Payment Terms: Client agrees to pay the Company a $25 monthly membership fee which will provide unlimited priority access to the scheduling calendar and a referral listing. In addition, Client also agrees to pay the Company 20% of the sales total per project at least 3 days prior to the install date. Late payment will result in a 3% late fee and may cause the project to be re-scheduled. Non-payment of balance will result in project cancellation with no refunds of dues already paid.

Refund Policy: During the time leading up to the project, the Company takes several measures to ensure that the print quality and application process meets expectations. Including, but not limited to, working with the Client to provide or encourage any pre-application surface and room prep, as well as required final artwork approval. Therefore, no refunds will be given for any reason. The Company will work to correct any errors that may occur during printing. (This is not common). It is the Client’s responsibility to ensure his/her customer has provided artwork within the scope of our requirements in a timely manner.

Timeline: The Company will make reasonable efforts to complete the Services within the agreed-upon schedule. Delays caused by the Client (including but not limited to, late image submissions, approvals, or payments) may result in adjustments to the timeline.

Client Responsibilities: The Client agrees to negotiate access with his/her customer to the worksite for inspection, necessary information, approvals, and materials (including images, logos, or artwork if any) in a timely manner and ensure working with customer to provide safe access to the worksite for installation. This includes prep required by Client and his/her customer before application can be completed.

Copyright and Intellectual Property: If the Client or customer provides images, graphics, or other content for use in the wall design, the Client represents and warrants that they either: a) own the rights to such content, or b) have obtained proper licensing/permissions to use it. Liability Disclaimer: Blue Ambrosia, LLC shall not be held responsible or liable for any copyright infringement claims, disputes, or damages arising from requested artwork and/or Client/customer supplied artwork. The Client assumes all responsibility for ensuring proper usage rights with all involved parties and agrees to indemnify and hold harmless Blue Ambrosia, LLC from any related claims.

Artwork Approval: The Client certifies that the final artwork has been approved for application and that all implications have been taken into consideration.

Warranties and Limitations: The Company warrants that the Services will be performed in a professional and workmanlike manner. Except as expressly stated in this Agreement, no other warranties are provided, whether express or implied.

Client is required to meet Technician upon arrival on print day and remain on premise for the duration, acting as Liaison for the project. For print projects that take extended time, Client may leave after set up and printing begins, but will be required to check in during the print. Client must be present at completion.

Company will act as a 3rd party installer for Client and is in no other way associated. Client is not employed by the Company, and maintains no ownership rights of equipment used to provide service. Client is responsible for his/her own income and tax reporting as governed by law. As well as maintaining lawful business practices, including business registration, filing, licensing and certifications as applicable to state and federal regulations.

Liability Waiver: The Client accepts the liability for his/her customers and business practices for all items relating to events, activities and services through Blue Ambrosia LLC dba Luxury Wall Designs. Client hereby releases and forever discharges the Company, their heirs, successors, assigns, agents, officers, directors, employees, and any other person, firm or corporation charged or chargeable with responsibility or liability, from any and all claims, demands, debts, contracts, expenses, causes of action, lawsuits, damages and liabilities, of every kind and nature, whether known or unknown, in law or equity, that he/she has ever had, now have, may have, or claim to have, arising from or related to events/activities and/or services offered by Blue Ambrosia, LLC. The Client hereby waives all the rights that he/she may have under the laws of the State of Texas to pursue any claim or action against the Company relating to the event/activity/services provided by Blue Ambrosia, LLC and all of it’s affiliates. This Release of Liability shall be binding upon and inure to the benefit of the parties, their successors, assigns, heirs, and personal representatives. This Release of Liability constitutes the entire agreement between the parties and supersedes all prior agreements and understandings, whether written or oral, relating to the subject matter of this Release. This Release of Liability may not be amended, altered or modified, except by a written document signed by both parties. The validity, interpretation, and performance of this Release of Liability shall be governed by the laws of the State of Texas.

Termination: Either party may terminate this Ongoing Membership Agreement in writing without penalty. In which case, the $25.00/month membership will cease to be withdrawn. Any projects already paid and scheduled will still be completed.

Governing Law: This Agreement shall be governed by and construed under the laws of the state of Texas.

Entire Agreement: This Agreement constitutes the entire understanding between the parties and supersedes all prior agreements, whether written or oral.

By submitting this form, I the Client understand that this is an ongoing Membership Agreement for rental services of the Vertical Wall Printer. I understand that by joining as a member, I am contracting the use of a 3rd party technician through Blue Ambrosia, LLC to do the install for my vertical wall printing sales. I confirm that I have full authorization to execute this Agreement in its entirety and agree to uphold all of the terms within.
